Trade Account Terms & Conditions

1. Introduction
These Trade Account Terms & Conditions (“Terms”) govern the supply of products and services by FARM & TABLE LTD to business customers who have been approved for a trade account.
These Terms apply to all business-to-business (B2B) transactions unless superseded by a separate written agreement signed by both parties.
By opening or using a Trade Account, the customer agrees to these Terms.
2. Definitions
For the purposes of these Terms:
- Company means FARM & TABLE LTD.
- Customer means the approved business account holder.
- Goods means products supplied by FARM & TABLE LTD.
- Trade Account means a business purchasing account approved by FARM & TABLE LTD.
3. Eligibility
Trade Accounts are available only to genuine businesses including:
- Restaurants.
- Pubs.
- Hotels.
- Caterers.
- Cafés.
- Delicatessens.
- Retailers.
- Corporate customers.
- Food service businesses.
The Company reserves the right to approve or decline any application at its absolute discretion.
4. Account Opening
Customers may be required to provide:
- Company registration details.
- VAT registration number (where applicable).
- Registered business address.
- Trading address.
- Contact details.
- Director or proprietor information.
- Credit references.
- Bank details.
Providing this information does not guarantee approval.
5. Credit Accounts
Where a credit facility is approved:
- A credit limit may be assigned.
- Credit terms will be confirmed in writing.
- The Company may review or amend credit limits at any time.
- Credit facilities may be withdrawn without notice where reasonable grounds exist.
The Company reserves the right to require payment in advance at any time.
6. Orders
Orders may be placed through:
- The website.
- Email.
- Telephone.
- Approved account managers.
- Other agreed ordering systems.
Orders become binding only when accepted by FARM & TABLE LTD.
7. Product Availability
All products are subject to availability.
Where products become unavailable, the Company may:
- Offer suitable alternatives.
- Partially fulfil the order.
- Delay delivery.
- Cancel unavailable items.
Customers will be notified where reasonably practicable.
8. Pricing
Trade pricing is confidential and must not be disclosed to third parties.
Prices are subject to change without notice.
Confirmed orders will normally be honoured at the agreed price unless an obvious pricing error has occurred.
Prices are exclusive of VAT unless otherwise stated.
9. Payment Terms
Unless otherwise agreed in writing:
- Payment is due within the agreed credit period.
- Time for payment is of the essence.
- Payment must be made in Pounds Sterling (£).
Payments may be made by:
- Bank transfer.
- Debit card.
- Credit card.
- Direct Debit.
- Other approved methods.
10. Late Payment
Where payment is not received by the due date, FARM & TABLE LTD reserves the right to:
- Charge statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Recover reasonable debt recovery costs.
- Suspend deliveries.
- Suspend the Trade Account.
- Withdraw credit facilities.
- Require future orders to be paid in advance.
11. Delivery
Deliveries will be made in accordance with the Company’s Delivery Policy unless alternative arrangements have been agreed.
Customers are responsible for ensuring that:
- Delivery details are accurate.
- Suitable personnel are available to receive deliveries.
- Products are inspected promptly.
- Chilled and frozen goods are stored immediately.
12. Risk and Ownership
Risk in the Goods passes to the Customer upon delivery.
Ownership of the Goods remains with FARM & TABLE LTD until payment has been received in full for all outstanding invoices.
Until ownership passes, the Customer must:
- Store the Goods separately where practicable.
- Keep the Goods identifiable.
- Take reasonable care of the Goods.
- Not dispose of the Goods outside the ordinary course of business where payment remains outstanding.
13. Product Quality
Customers should inspect Goods immediately upon delivery.
Any issues relating to:
- Damage.
- Incorrect products.
- Missing items.
- Temperature concerns.
- Packaging defects.
should be reported as soon as reasonably practicable.
Failure to notify the Company promptly may affect available remedies.
14. Returns
Due to the nature of perishable food products, returns are generally accepted only where:
- Products are faulty.
- Products are damaged.
- Incorrect Goods have been supplied.
- Statutory rights apply.
Returns must be authorised by FARM & TABLE LTD before products are returned.
15. Food Safety
Customers are responsible for:
- Storing products correctly.
- Following food safety legislation.
- Maintaining the cold chain after delivery.
- Complying with allergen legislation when serving consumers.
- Following storage and preparation instructions.
16. Confidentiality
Trade pricing, commercial arrangements and confidential business information must not be disclosed without prior written consent.
This obligation continues after the business relationship ends.
17. Intellectual Property
All intellectual property rights relating to FARM & TABLE LTD remain the property of the Company.
Trade customers must not:
- Use Company branding without permission.
- Suggest endorsement.
- Modify promotional material.
- Register similar branding or domain names.
18. Suspension and Termination
The Company may suspend or terminate a Trade Account where the Customer:
- Breaches these Terms.
- Fails to pay invoices.
- Becomes insolvent.
- Engages in fraudulent activity.
- Causes reputational damage.
- Breaches food safety legislation.
Termination does not affect any accrued rights.
19. Limitation of Liability
Nothing in these Terms excludes liability that cannot legally be excluded.
Subject to applicable law, FARM & TABLE LTD shall not be liable for:
- Loss of profit.
- Loss of business.
- Loss of contracts.
- Indirect or consequential loss.
- Business interruption.
The Company’s aggregate liability shall not exceed the value of the Goods giving rise to the claim, except where prohibited by law.
20. Force Majeure
The Company shall not be liable for delays or failures resulting from events beyond its reasonable control, including:
- Severe weather.
- Fire.
- Flooding.
- Industrial action.
- Supplier failure.
- Utility outages.
- Government restrictions.
- Pandemic.
- Cyber incidents.
21. Changes to these Terms
FARM & TABLE LTD may amend these Terms from time to time.
Updated Terms will apply to future orders and will be made available upon request or through the Company’s website.
22. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising under these Terms.
